Marquest Monthly Pay Fund Announces Intention to Merge Certain Classes of the Fund And Changes to the Monthly Distribution

Toronto, December 19, 2016:  Marquest Asset Management Inc., Manager of the Marquest Group of Funds, today announces the intention to merge certain Classes of the Marquest Monthly Pay Fund (the “Fund”) in order to achieve better economies of scale and reduce the overall expenses of the Fund. After the close of business on December 30, 2016, Marquest Monthly Pay Fund Class AA units will be merged in to Marquest Monthly Pay Fund Class A, and Marquest Monthly Pay Fund Class F-AA units will be merged in to Marquest Monthly Pay Fund Class F at their respective Class net asset value per unit on such date. These mergers will result in the termination of the Class AA and Class F-AA units of the Fund. The management fee charged to unitholders of the Class AA and Class F-AA units is the same as that by Class A and Class F unitholders, respectively.

Subsequent to the merging of these Classes, the monthly distribution amount for the Class A and Class F units will be changed to $0.02 per unit from $0.075 per unit. This new monthly distribution amount, taking effect for the January 2017 record date, represents a current annual yield for the Class A and Class F units of approximately 9.9% and 7.2%, respectively.

These changes are intended to provide unitholders of the Fund with an appropriate and sustainable level of monthly income, while continuing to provide the opportunity for long-term capital appreciation.
